With the merger taking effect, all assets, liabilities, employees, and legal proceedings of Toshali Cements Pvt Ltd, a wholly owned subsidiary of JK Cement, have been transferred to the parent company. Toshali Cements will stand dissolved without winding up.
According to an exchange filing by JK Cement, the Tribunal sanctioned the scheme of amalgamation through an order dated September 12, 2025, in Company Petition No. CP(CAA) 15/ALD/2025, under Sections 230 to 232 of the Companies Act, 2013. The order was later amended on October 9 to correct the jurisdiction of the Registrar of Companies to Kanpur instead of Dehradun.
JK Cement informed that it received the certified copy of the order and filed it with the Registrar of Companies on October 15, 2025, making the scheme effective the same day.
The company said the consolidation is expected to simplify the group structure and streamline operations.
JK Cement Ltd, headquartered in Kanpur, manufactures grey and white cement and has production units across Rajasthan, Madhya Pradesh, Haryana, Karnataka, Gujarat, and Uttar Pradesh.
The shares of the company ended 3.2% in the red on Wednesday, October 15. The stock has gained as much as 42% in the year so far.
