The former chair of GWG Holdings, charged with fraud, utilized Claude to generate reports related to his case, which were then shared with his legal team. His lawyers attempted to shield these AI-generated documents under the umbrella of attorney-client privilege. However, prosecutors contested this, arguing that communications with an AI platform do not fall under this protection. Ultimately, U.S. District Judge Jed Rakoff sided with the prosecution, stating that no attorney-client relationship can exist with an AI, and crucially, that AI platforms explicitly disclaim any expectation of user privacy for their inputs. This outcome has significantly heightened concerns about the confidentiality of AI-assisted legal preparations.
Why Privilege Fails
Attorney-client privilege is a foundational legal safeguard in the United States, designed to protect confidential communications between individuals and their legal counsel from disclosure to opposing parties or authorities. The fundamental issue with using AI chatbots in this context is that these platforms are not licensed attorneys. Established legal precedent dictates that voluntarily sharing information received from a lawyer with any third party, whether human or digital, can completely nullify this privilege. When a person inputs sensitive details about their legal situation into an AI chatbot, they are, in essence, disclosing that information to an external entity. Compounding this concern, the terms of service for prominent AI providers, including OpenAI and Anthropic, typically reserve the right to share user data with third parties, further eroding any expectation of confidentiality.
Lawyers' Advice Emerges
In response to these evolving legal landscapes, a significant number of major U.S. law firms have begun issuing comprehensive client advisories and publishing guidance on their websites. A consensus is forming around several key recommendations to mitigate risks. Firms, such as O’Melveny & Myers, are advising clients, where feasible, to opt for proprietary, corporate AI systems over publicly accessible, consumer-facing chatbots, though they concede that the legal standing of even these systems remains largely untested. Furthermore, clients are strongly encouraged to explicitly state in their prompts when AI research is being conducted under the direct instruction of their lawyer. This explicit notation could potentially bolster arguments for protection, although its ultimate legal weight is yet to be definitively established in court.
