Community Ambulance, through its parent company Ambulance Management Group, LLC (AMG), has filed a federal lawsuit against Dignity Health. The lawsuit alleges that Dignity Health concealed a corporate change of control to prevent AMG from exercising a contractual
buyout option. The complaint, filed on August 5, claims that Dignity Health, formerly known as Catholic Healthcare West, became a subsidiary of CommonSpirit Health, which constituted a 'Change of Control' under their 2010 operating agreement. This agreement included a provision allowing AMG to purchase Dignity Health's interest in Community Ambulance Company (CAC) if such a change occurred. AMG alleges that Dignity Health misrepresented the change to block the buyout option. The lawsuit includes claims of breach of contract, fraud, and intentional misrepresentation, among others.
