Constellation Energy Corporation has announced an agreement to acquire 100% of RISEC Holdings, LLC, which owns the Rhode Island State Energy Center (RISEC), from Shell Energy North America (US), L.P., a subsidiary of Shell plc. The acquisition is valued
at $715 million, subject to customary purchase price adjustments, and is equivalent to approximately $580 million net of expected first-year tax benefits. RISEC, located in Johnston, R.I., is a combined-cycle electric generation facility fueled by natural gas, capable of generating up to 609 megawatts of electricity. It has been serving the New England power grid since 2002, utilizing combined-cycle technology to operate more efficiently and with lower emissions than traditional single-cycle natural gas plants. Constellation expects the transaction to be immediately accretive to its operating earnings and to deliver returns above its 10% unlevered return threshold, without impacting its authorized share repurchases.
