New Age Metals (TSX-V:NAM) has finalized a definitive agreement with Rockport Capital (TSX-V:R.P) for the Genesis Nickel-Copper-Platinum Group Element (PGE) Project in Alaska, U.S. This agreement allows Rockport Capital to earn up to a 70% interest in the project.
Initially, Rockport can earn 50% by paying New Age Metals C$25,000, issuing 1 million shares, and funding at least C$250,000 in exploration within 12 months. Rockport can increase its interest to 70% by paying an additional C$10,000, issuing 250,000 more shares, and spending C$750,000 within 36 months. If the second-stage option is not exercised, the companies will form a 50:50 joint venture. New Age Metals will remain the project operator throughout the earn-in and JV stages, receiving a service fee of 4% of exploration expenditure during the initial earn-in and 8% of direct program costs after the JV is formed. The Genesis project comprises 64 contiguous mining claims spanning 4,144 hectares in the northeastern Chugach Mountains, approximately 120km north of Valdez, Alaska, and is located near the Richardson Highway and a high-capacity power line. The property is subject to an existing 3% net smelter return royalty held by Anglo Alaska Gold. The transaction is subject to TSX Venture Exchange acceptance, approval from Rockport’s disinterested shareholders, a concurrent Rockport financing of at least C$750,000, and completion of a technical report.
