What's Happening?
Orrick, Herrington & Sutcliffe LLP provided legal counsel to Stark Power in its definitive agreement to acquire the Cottage Grove energy campus from Ultra Capital and Panamint Capital. The acquisition includes an operational 262 MW natural gas-fired combined-cycle
power plant and an co-located 80 MW / 320 MWh battery energy storage system (BESS) project. The BESS project is anticipated to commence commercial operation in 2028 and will connect through the existing grid interconnection of the power plant. This move is part of Stark Power's strategy to establish a U.S. power generation platform, focusing on large-scale opportunities at the intersection of power generation and digital infrastructure. The Orrick team involved in this transaction included Bradford Gathright, Jonathan Ayre, Ari Bessendorf, Matthew E.S. Coleman, Bart Kempf, A. Cory Lankford, Jeanine P. McGuinness, Rohit Sachdev, Kaleb Walker, Lauren Buehler, Lisa van Velsor, Armando Arballo, Ryan Chastain, ThuyMy Do, Chandler Dorris, Sara Forden, Kayla Grant, Samuel Lee, Katie Tarvardian, Allison Bradham, and Noah Nance.
Why It's Important?
This acquisition is significant for the U.S. energy market, particularly in the MISO region, where electricity demand is increasing. The Cottage Grove plant provides reliable, dispatchable generation, which is crucial given the challenges in permitting and bringing new dispatchable capacity online. The plant is currently under contract with Northern States Power Company, a subsidiary of Xcel Energy, and will transition to a 15-year tolling agreement with Basin Electric Power Cooperative starting December 2027. The BESS is also contracted under a 15-year tolling agreement with Northern States Power Company. This transaction underscores the growing investment in both traditional and renewable energy infrastructure to meet rising energy demands and enhance grid stability. For Orrick, Herrington & Sutcliffe LLP, this highlights their expertise in complex energy sector transactions and their role in facilitating major infrastructure developments within the U.S. power market.
What's Next?
Following the definitive agreement, the next steps will involve the integration of the Cottage Grove energy campus into Stark Power's operations. The battery energy storage system is slated for commercial operation in 2028, which will require further development and construction. The transition of the power plant's contract to Basin Electric Power Cooperative in December 2027 will also be a key milestone. Stark Power is expected to continue its rapid build-out strategy in the U.S. market, seeking additional large-scale opportunities in power generation and digital infrastructure. The successful execution of this acquisition and the subsequent operational phases will likely serve as a model for future investments in hybrid energy solutions, combining conventional power generation with advanced energy storage technologies to enhance grid reliability and meet evolving energy demands.
Beyond the Headlines
This transaction reflects a broader trend in the U.S. energy sector towards hybrid energy solutions that combine traditional power generation with battery storage. The co-location of a natural gas plant with a BESS allows for enhanced grid stability and flexibility, addressing the intermittency challenges often associated with renewable energy sources. This approach can provide a more reliable power supply, especially in regions with growing electricity demand like the MISO market. The involvement of a prominent law firm like Orrick, Herrington & Sutcliffe LLP in such a complex deal also underscores the intricate legal and regulatory landscape surrounding energy infrastructure development. This trend suggests a strategic shift towards optimizing existing assets while integrating new technologies to create a more resilient and efficient energy grid, potentially influencing future energy policy and investment decisions across the nation.
