What's Happening?
Barrick Mining has entered into a non-brokered private placement agreement to acquire 15,470,934 units of Kingfisher Metals for a total of C$20.8 million ($21 million). This acquisition gives Barrick a 9.9% stake in Kingfisher on a non-diluted basis and
14.1% on a partially diluted basis, assuming full exercise of the warrants it holds. The agreement includes an investor rights agreement, granting Barrick anti-dilution and information rights concerning Kingfisher's Highway 37 Project in British Columbia, provided Barrick maintains at least a 5% ownership. Additionally, Kingfisher is restricted from selling or transferring any interest in the Highway 37 Project without Barrick's consent for two years. Barrick is also bound by a standstill agreement, preventing it from increasing its ownership beyond 15% unless a third party acquires 10% or more, in which case the limit rises to 19.9%.
