According to a report by the Wall Street Journal, nine leading technology companies have accumulated approximately $3 trillion in off-balance-sheet commitments, primarily related to artificial intelligence (AI) infrastructure buildout. This financing
method involves creative structures where significant investments, such as those for data centers, are not directly recorded on the companies' balance sheets. An example cited is Meta's Hyperion project, a Louisiana data center. In this case, Meta owns only 20% of the special vehicle that owns the project, with a private credit company, Blue Owl, owning the remaining 80%. Further complexity is added by another company, Beignet investor, which holds Blue Owl's portion and raised financing through debt sales. The lease payments from Meta are intended to pay off bondholders, with a commitment to make bondholders whole even if Meta does not occupy the site or make lease payments for the committed 20 years. The Journal estimates $1.2 trillion in uncommenced leases and $1.9 trillion in purchase obligations for chips and other data center components are tied to these off-balance-sheet arrangements.
