What's Happening?
Grant Thornton Advisors has announced a definitive agreement to acquire CBIZ, Inc. in an all-cash transaction valued at $5 billion. This acquisition, supported by New Mountain Capital, is set to make Grant Thornton the fifth-largest provider of professional
services, tax, and advisory services in the U.S., with over $5 billion in annual domestic revenue. The combined entity will span more than 20 countries and territories, generating nearly $7.5 billion in revenue and employing over 34,500 professionals globally. The transaction represents the largest of its kind in over 25 years and is expected to close in the fourth quarter of 2026, subject to regulatory approvals and CBIZ shareholder consent.
Why It's Important?
The acquisition is significant as it marks a major consolidation in the professional services industry, enhancing Grant Thornton's capabilities in AI, multinational reach, and industry specialization. The deal reflects a broader trend of increased private equity investment in the accounting sector, indicating a shift towards more integrated and technologically advanced service offerings. This move is expected to provide enhanced service offerings and new opportunities for employees, while delivering significant value to CBIZ shareholders. The transaction also highlights the growing importance of AI-enabled solutions in the professional services industry.
What's Next?
Following the acquisition, Grant Thornton plans to separate CBIZ's Benefits and Insurance Services segment into a new independent company backed by New Mountain Capital. The transaction includes a 'go-shop' provision allowing CBIZ to seek alternative proposals until August 27, 2026. The deal is expected to close by the end of 2026, pending regulatory and shareholder approvals. The integration of CBIZ is anticipated to strengthen Grant Thornton's market position and expand its service offerings, particularly in AI and technology-driven solutions.
