Silver Bow Mining has entered into a definitive asset purchase agreement to acquire the Jefferson County Metallurgical Complex in Montana, US, from Montana Goldfields and Montana Tunnels Mining. This acquisition is being conducted through a Chapter 11
sale, subject to approval by the US Bankruptcy Court for the District of Montana. The complex includes two mineral processing circuits, associated infrastructure, and the historic Montana Tunnels M-Pit, located approximately 55 miles northeast of Butte. The facility features separate 15,000 tonne per day (tpd) and 1,000 tpd milling and flotation circuits, along with crushing, storage, and tailings facilities on a 5,000-acre site. Silver Bow Mining plans to use this complex to process high-grade silver-gold-zinc-lead mineralization from its nearby Rainbow Block resource.

Once these approvals are obtained and the final closing takes place, Silver Bow Mining is set to issue 3,500,000 CVRs, each convertible into one common share 180 days post-closing, subject to specific conditions.
