Universal Health Services Inc. (UHS) has finalized its $835 million acquisition of Talkspace, a virtual behavioral health company. This strategic move, UHS's largest deal in 15 years, aims to establish the nation's first comprehensive, end-to-end continuum
of behavioral healthcare services. Talkspace brings to UHS a network of 6,000 therapists and a virtual therapy platform, including an AI therapy bot named Tee, which was specifically designed for mental health applications with human oversight. In the first half of this year, Talkspace conducted 933,000 treatment sessions for insured patients or those with employee assistance plans, alongside 5,000 active direct-paying patients. UHS, already a dominant provider with 182 hospitals and 110 outpatient facilities, seeks to integrate Talkspace's virtual offerings to extend its reach into outpatient and virtual care, thereby enhancing patient access across various levels of behavioral health treatment. The acquisition was financed through a $400 million loan under an existing delayed-draw term loan facility and additional loans from its revolving credit facility.
