UK P&I Club and TT Club have jointly announced their offer to acquire Thomas Miller Holdings, which has received significant shareholder support with acceptances exceeding 89%. The acquisition proposal was presented to shareholders on June 18, 2026, through
TMH Bidco, a special-purpose vehicle created by the two clubs to facilitate the transaction. The acquisition is anticipated to be finalized in the fourth quarter of 2026, pending necessary regulatory approvals. During this period, Thomas Miller Holdings will continue its operations as usual. To aid in the transition, two representatives from TMH Bidco will join the board of Thomas Miller Holdings. Additionally, UK P&I Club and TT Club have signed a framework agreement committing to a merger, expected to conclude by February 20, 2027, subject to all required approvals.
