Patagonia Gold Corp. (TSX.V: PGDC) has announced that Astra Exploration Inc. (TSX.V: ASTR) has exercised its first earn-in option for the La Manchuria gold and silver property in Santa Cruz Province, Argentina. This exercise follows Astra's completion
of over US$3.0 million in exploration and development expenditures on the property, granting Astra an 80% interest. Patagonia Gold will retain a 20% interest in the property. La Manchuria is a significant gold and silver project covering more than 5,600 hectares within the Deseado Massif geological region, known for its precious metals. The companies are now working to establish a joint venture structure, which will involve transferring the property and additional mining claims to a jointly owned Argentine mining company, with Astra holding 80% and Patagonia Gold 20%.

What's Next?
Following the exercise of the first earn-in option, Patagonia Gold and Astra Exploration will proceed with establishing the joint venture structure. This includes transferring the La Manchuria property and other mining claims to a new jointly owned Argentine mining company, where Astra will hold an 80% stake and Patagonia Gold 20%. Patagonia Gold's interest will be carried until a technical report, compliant with National Instrument 43-101, defines at least one million gold equivalent ounces in the inferred or indicated mineral resource categories. After this milestone, both parties will fund expenditures proportionally to their interests. Astra also has the option to acquire an additional 10% interest by paying Patagonia Gold US$5.0 million within two years, which would reduce Patagonia Gold's stake to 10%. If either party's interest falls below 10%, it will convert into a 1% net smelter return royalty.
