What's Happening?
Grant Thornton Advisors has entered into a definitive agreement to acquire CBIZ for $5 billion, marking the largest acquisition in the U.S. accountancy sector in over 25 years. The transaction is expected to be finalized in the fourth quarter of 2026,
subject to shareholder approval and regulatory authorizations. CBIZ, with over 9,500 employees and a presence in 23 major U.S. markets, will be delisted and become a wholly-owned subsidiary of Grant Thornton Advisors. The merger will make Grant Thornton the fifth-largest U.S. provider of professional, tax, and advisory services.
Why It's Important?
This acquisition highlights the transformation of mid-market accountancy firms into acquisition platforms, driven by private equity investment. The merger will enhance Grant Thornton's capabilities and market presence, allowing it to compete more effectively with larger firms. The deal is expected to deliver significant value to CBIZ shareholders, with a premium offered on the market price of its shares. The transaction also reflects the growing importance of technology and AI in the professional services sector.
What's Next?
Following the acquisition, Grant Thornton plans to separate CBIZ's Benefits and Insurance Services division into an independent company, backed by New Mountain Capital. This strategic move aims to optimize the operations and focus of the combined company, enhancing its ability to deliver specialized services to clients. The transaction is subject to shareholder approval and regulatory clearances, with completion expected in the fourth quarter of 2026.
