Chiesi Group, an Italian biopharmaceutical company, has finalized its acquisition of KalVista Pharmaceuticals for approximately $1.9 billion. The deal, announced on April 29, 2026, and approved by both companies' boards, involved Chiesi purchasing all
outstanding shares of KalVista at $27.00 per share in cash, representing a 36% premium over KalVista's 30-day volume-weighted average share price prior to the announcement. The acquisition was completed on June 11, 2026, with Chiesi acquiring 77.8% of KalVista's outstanding shares through a tender offer, followed by a merger of a wholly owned subsidiary with KalVista. As a result, KalVista's common stock has ceased trading on the Nasdaq Global Market. This acquisition marks Chiesi's largest deal to date and brings KalVista's oral, on-demand treatment for hereditary angioedema (HAE) into Chiesi's portfolio.
