Osisko Metals has incorporated a new, wholly-owned subsidiary named Osisko Critical Minerals. This new entity has announced a C$100 million (approximately $100.5 million USD) private placement. The capital raised from this placement is earmarked for funding
copper exploration activities in New Brunswick, Canada. The subsidiary will issue special warrants at C$0.25 each, with Canaccord Genuity leading the private placement as the sole bookrunner and lead agent. Each special warrant will convert into one unit, comprising one common share and half a warrant, upon the satisfaction of specific release conditions. These conditions include the requirement for a final prospectus qualifying the distribution of the underlying securities and conditional approval from the TSX Venture Exchange within 180 days of closing, which is anticipated around November 17, 2026.

Additionally, claims under three separate option agreements, executed in January, April, and September 2026, will be transferred to the new corporation in exchange for common shares as part of the transaction. The focus will be on advancing these properties, which exhibit geology similar to the nearby Gaspé Copper Project. The successful conversion of special warrants into common shares and warrants is contingent upon regulatory approvals, expected by mid-November 2026, after which exploration efforts are anticipated to intensify.
