Vertex Pharmaceuticals has announced a definitive agreement to acquire Crinetics Pharmaceuticals for $85 per share in cash, valuing the transaction at approximately $10 billion. This acquisition aims to bolster Vertex's portfolio with Crinetics' endocrinology
assets, including PALSONIFY, a once-daily oral therapy for acromegaly, and atumelnant, a Phase 3 drug candidate for congenital adrenal hyperplasia (CAH). The deal, expected to close in the third quarter of 2026, is subject to regulatory and shareholder approvals. Vertex plans to finance the acquisition through a combination of cash and debt, supported by $4.5 billion in bridge financing from Bank of America and Morgan Stanley.
