What's Happening?
Randa Apparel & Accessories, a New York-based company with over a century of history, has acquired Untuckit, the men's shirt brand founded in 2011 by Chris Riccobono and Aaron Sanandres. While the terms of the acquisition were not disclosed, Randa plans
to operate Untuckit as a stand-alone business, retaining both founders and their team, along with the brand's SoHo offices. David Katz, Randa's Executive Vice President and Chief Marketing Officer, emphasized that the acquisition is not about integration but about leveraging Untuckit's expertise in e-commerce, brick-and-mortar retail, and consumer data to benefit Randa's other businesses. Untuckit, known for its shirts designed to be worn untucked, has expanded into various apparel categories, including polos, pants, shorts, sweaters, sport coats, jeans, and womenswear, and also wholesales to retailers like Macy's and Von Maur. The brand currently has estimated sales between $200 million and $250 million and operates approximately 70 stores across the U.S.
Why It's Important?
This acquisition signifies Randa Apparel & Accessories' strategic shift towards direct-to-consumer engagement and market leadership. Randa, traditionally a manufacturer of branded apparel and accessories with extensive wholesale relationships, aims to balance its wholesale dominance with direct-to-consumer expertise. Untuckit's strong e-commerce presence and loyal customer base provide Randa with valuable insights into consumer data and direct retail operations, which can be applied across its portfolio of over 40 licensed brands, including Calvin Klein, Levi's, and Tommy Hilfiger. For Untuckit, the acquisition by Randa provides access to significant capital, global sourcing capabilities, and established retail relationships, which are crucial for its ambitious growth plans to become a $500 million-plus business and a classic American brand. This move also highlights the ongoing consolidation within the fashion industry, where strategic buyers are seeking to acquire established brands with strong direct-to-consumer models to enhance their market position and adapt to evolving retail landscapes.
What's Next?
Untuckit will continue to operate under its existing leadership, with Chris Riccobono remaining the face of the brand and Aaron Sanandres as CEO. They will leverage Randa's operational processes and resources to improve their structure and accelerate growth. Randa plans to expand Untuckit's retail footprint, with intentions to open a larger number of stores, including a new flagship location on Madison Avenue in New York. The acquisition is expected to bolster Untuckit's wholesale business, an area where Randa possesses significant expertise. Randa will also continue to seek out other suitable brands for acquisition, focusing on long-term, strategic investments that can benefit from its sourcing, wholesale relationships, automation, and artificial intelligence tools. The success of this acquisition will likely be measured by Untuckit's ability to scale its business, expand its market reach, and effectively integrate Randa's resources while maintaining its brand identity and customer loyalty.
Beyond the Headlines
The acquisition of Untuckit by Randa Apparel & Accessories reflects a broader trend in the retail industry where traditional wholesalers are seeking to acquire direct-to-consumer (DTC) brands to gain deeper consumer insights and diversify their business models. This strategy allows Randa to access Untuckit's expertise in e-commerce and direct customer engagement, which is increasingly vital in a competitive market. The emphasis on maintaining Untuckit as a stand-alone entity suggests a recognition of the unique brand identity and customer relationship that DTC brands cultivate. This approach could serve as a blueprint for future acquisitions, where the acquiring company provides infrastructure and capital while allowing the acquired brand to retain its agility and direct connection with consumers. The move also underscores the challenges faced by even successful brands like Untuckit, which, despite strong brand recognition, still require significant capital and operational support to navigate macroeconomic pressures and achieve large-scale growth.
