What's Happening?
Vext Science, through its wholly-owned subsidiary Vapen Ohio, LLC, has reached a debt restructuring agreement with certain holders of promissory notes, known as APP Notes. These notes were originally issued as part of Vext's 2023 acquisition of two Ohio businesses,
Appalachian Pharm Products, LLC and APP1803, LLC. The original APP Notes, totaling approximately US$6.0 million, were due to be fully repaid by December 31, 2026, including a significant balloon payment. Under the new agreement, Vext Science will make a cash payment of approximately US$2.4 million on the first business day of January 2027. This payment will fully repay four noteholders and provide early partial repayments to others. The remaining US$3.2 million in outstanding debt will be replaced with new promissory notes, called Replacement APP Notes, issued by Vapen Ohio. These new notes will carry an interest rate of 8.0% per year until December 31, 2026, increasing to 10.0% per year from January 1, 2027, and will be paid off in equal monthly installments until January 15, 2029. The restructuring is set to take effect on October 1, 2026, contingent on Vext making its next scheduled quarterly payment on the current APP Notes.
