What's Happening?
Global law firm Greenberg Traurig, through its Dubai office, served as UAE and English law counsel to Arada Developments LLC (Arada) for its US$400 million sukuk issuance, due in 2031. This transaction builds on Arada's previous financial activities,
including a US$450 million sukuk that received accolades at the Islamic Finance News Awards 2025. The latest sukuk was listed on the London Stock Exchange’s International Securities Market and was part of a broader strategy that involved a consent solicitation to introduce an optional dissolution call right into the terms of its existing 2022 sukuk, and a US$169 million tender offer for that same sukuk. Alex Roussos, Capital Markets Shareholder at Greenberg Traurig, led the Dubai team, which included Senior Associates James Osun-Sanmi and Sana Siddiqui, Associate Olga Efstathiou, and Paralegal Dahlia Taqi, with additional support from Practice Group Attorney Katie Phillips in London. Arada, a real estate developer founded in 2017 and headquartered in Sharjah, focuses on residential and mixed-use communities in Sharjah and Dubai.
Why It's Important?
This transaction highlights the growing sophistication and international reach of Islamic finance instruments like sukuk, which are increasingly used by companies in the Middle East to raise capital. For Greenberg Traurig, its role in this complex issuance underscores its expanding presence and expertise in the Middle East's financial and real estate sectors, particularly since launching offices in Riyadh, Dubai, and Abu Dhabi in 2023 and 2025, respectively. The successful execution of this sukuk in what were described as 'testing markets' demonstrates strong investor confidence in Arada and the regional real estate market. This also signifies the firm's capability to navigate intricate cross-border financial regulations and provide comprehensive legal advice for significant capital market transactions, reinforcing its position as a key legal advisor in the region's economic development.
What's Next?
The successful issuance of this sukuk is expected to provide Arada with significant capital to continue its real estate development projects in Sharjah and Dubai, potentially expanding its portfolio of residential and mixed-use communities. For Greenberg Traurig, this high-profile transaction could further solidify its reputation and market share in the Middle East, potentially leading to more engagements in the region's burgeoning real estate, infrastructure, and finance sectors. The firm's continued involvement in complex financial instruments like sukuk suggests a strategic focus on supporting the growth of Islamic finance, which could attract more clients seeking similar expertise. Future developments may include additional capital market activities by Arada or other regional entities, with Greenberg Traurig likely to play a continued advisory role.
Beyond the Headlines
The increasing adoption of sukuk by real estate developers like Arada reflects a broader trend of integrating Sharia-compliant financial products into global capital markets. This not only provides alternative financing avenues but also caters to a growing investor base seeking ethical and socially responsible investments. The complexity of coordinating multiple liability management exercises in challenging market conditions, as noted by Alex Roussos, points to the evolving nature of financial transactions and the critical role of specialized legal counsel in ensuring their success. This trend could lead to greater standardization and acceptance of Islamic finance principles in international financial law, potentially influencing how other global firms structure their offerings and expand their services in regions with strong Islamic economic ties.
