What's Happening?
Silver Bow Mining Corp. has entered into a definitive asset purchase agreement to acquire the Jefferson County Metallurgical Complex in Montana. This complex includes two mineral processing circuits (15,000-tpd and 1,000-tpd), crushing and ore storage
facilities, tailings facilities, and associated infrastructure across approximately 5,000 acres. The acquisition, valued at approximately $28.6 million in cash to satisfy creditors and equity consideration in the form of contingent value rights, is being conducted through a Chapter 11 sale process involving Montana Tunnels Mining, Inc. The 1,000-tpd circuit is expected to be suitable for processing high-grade silver-gold-zinc-lead mineralization from Silver Bow Mining’s Rainbow Block Project, located in Montana's historic Butte Mining District. The Rainbow Block Project hosts an Inferred Mineral Resource estimate of 11.48 million tons grading 14.8 ounces per short ton silver equivalent.

What's Next?
The acquisition is subject to approval by the U.S. Bankruptcy Court for the District of Montana, governmental approvals, and shareholder approval from Silver Bow Mining. The company plans to call a Special Meeting of Shareholders to seek the necessary approvals. Following the final closing, Silver Bow Mining has committed to undertaking specified technical work programs, including a $5 million program for a Feasibility Study on the M-Pit Expansion and a $3 million program for engineering and regulatory work on the Clancy Creek Bypass Channel. The Feasibility Study for the M-Pit Expansion is expected to be completed within nine months of the final closing. Silver Bow Mining will also evaluate various financing alternatives to preserve financial flexibility and advance its exploration and development plans, prioritizing structures that minimize shareholder dilution.
