What's Happening?
Cencora, formerly AmerisourceBergen, has announced a definitive agreement to acquire a majority stake in the American Oncology Network (AON), valuing the network at $2.4 billion. Cencora plans to pay $1.7 billion to increase its ownership to 75%, assuming
full participation from eligible current stockholders who would retain a 25% ownership. The deal, which has received approval from AON’s board, is contingent on stockholder approval and regulatory clearances. AON, a managed services organization (MSO) launched in 2018 and based in Fort Myers, Florida, supports community oncology practices across 21 states by providing clinical services and administrative support. Cencora currently holds approximately 4% equity interest in AON and has been its distribution partner since 2020. This acquisition follows Cencora's previous investment in OneOncology, where it acquired a majority stake in late 2025 after holding a minority stake since 2023.
Why It's Important?
This acquisition significantly expands Cencora's presence in the U.S. oncology market, extending its physician-led oncology MSO to an additional 12 states. By integrating AON, which focuses on smaller oncology providers, Cencora aims to enhance its capabilities for independent practices, thereby strengthening patient access to high-quality, cost-effective care. This move is part of a broader trend in the drug distribution and wholesale sector, where companies like Cardinal Health and McKesson Corporation are also making substantial investments in specialty practice networks. These strategic acquisitions serve as crucial distribution avenues for pharmaceuticals and provide operational and clinical support services, ultimately influencing the landscape of healthcare delivery and competition within the oncology sector. The deal is expected to improve Cencora's adjusted earnings per share in the second year post-close, indicating a positive financial outlook for the company and its stakeholders.
What's Next?
The acquisition is subject to stockholder approval and regulatory clearances, which are the immediate next steps. Cencora anticipates closing the deal by late March 2027. Following the close, Cencora expects to provide further details on the deal's specifics during an earnings call scheduled for early November. The company has also updated its guidance for fiscal year 2027, projecting at least $17.90 adjusted earnings per diluted share, reflecting the strength of its U.S. Healthcare Solutions reportable segment. The integration of AON into Cencora's MSO network will likely involve combining expertise and existing business bases to develop joint business opportunities. The deal's impact on adjusted earnings per share is estimated to be a $.02 dilution in fiscal year 2027, followed by an accretion of $.10 in fiscal year 2028 and $0.22 in fiscal year 2029.
Beyond the Headlines
This acquisition highlights the increasing consolidation within the U.S. healthcare sector, particularly in specialized medical fields like oncology. The 'specialty practice network arms race' among major drug distributors suggests a strategic shift towards vertical integration, where distributors are not only supplying pharmaceuticals but also gaining control over the care delivery infrastructure. This trend could lead to more streamlined operations and potentially better-coordinated patient care, but it also raises questions about market concentration and its potential impact on competition, pricing, and the autonomy of independent medical practices. The focus on supporting community oncology practices underscores the importance of local access to specialized care, especially as healthcare systems grapple with increasing demand and complex treatment protocols. The long-term implications could include a redefinition of the relationship between pharmaceutical suppliers and healthcare providers, with potential effects on innovation, treatment options, and patient choice.
