Global investment firm Carlyle and leading global mid-market infrastructure equity fund manager CVC DIF have agreed to acquire a majority stake in BauWatch, a European leader in technology-enabled remote video surveillance solutions, from Haniel, a German
family equity company. The deal values BauWatch at approximately EUR1 billion. Under the agreement, Carlyle and CVC DIF will each acquire a 45% stake, while Haniel will retain a 10% minority holding. BauWatch, headquartered in Apeldoorn, Netherlands, specializes in safeguarding large-scale construction projects and critical infrastructure, such as power plants and renewable energy assets, through an integrated platform combining remote video surveillance, AI-enabled monitoring, and 24/7 alarm response services. Since Haniel acquired BauWatch in 2021, the company's revenue has grown from €59 million to €153 million in 2025, expanding its operations across 12 European markets with over 15,000 active surveillance systems. The transaction is subject to customary regulatory approvals and is anticipated to close in the first quarter of 2027.
