What's Happening?
Japan Gold Corp. has announced a strategic alliance with Solidcore Resources plc, a leading gold mining company. This alliance includes a commitment from Solidcore to fund $35 million (US$25 million) for exploration across five target areas within Japan Gold's
portfolio over 36 months. Concurrently, Solidcore and Equinox Partners Investment Management, LLC have completed two equity financings in Japan Gold, totaling $10.5 million at a 50% premium to the company's market price. Additionally, Japan Gold's existing royalty partner, OR Royalties Inc., will exercise its option to acquire an additional 0.5% royalty in all Japan Gold properties for US$3 million, increasing its total royalty interest to 2%. These financial injections aim to accelerate exploration efforts on prospective epithermal gold projects across Japan's main islands. As part of the alliance, Solidcore has also nominated two directors, Mr. Victor Flores and Ms. Tania Tchedaeva, to Japan Gold's Board of Directors.

What's Next?
Following the formation of the alliance, Solidcore will fully fund a three-year exploration program on the five selected target areas. Japan Gold will receive an annual management fee of US$500,000 for overseeing these exploration activities. Upon completion of the $35 million expenditure, Solidcore will have the option to earn a 49% interest in up to five joint ventures, each focused on a single target area. Solidcore also has options to increase its interest to 70% by solely funding a Pre-Feasibility Study within three years, and further to 80% by solely funding a Bankable Feasibility Study within three years of the Pre-Feasibility Study's completion. Japan Gold will then have choices regarding funding its remaining interest, including selling portions or converting them into a Net Smelter Royalty (NSR). The closing of the non-dilutive Royalty Sale with OR Royalties Inc. is expected by November 4, 2026.
