Electrum Gold Exploration is purchasing 16.5 million units at $1.30 per unit, with each unit including one common share and one warrant exercisable at $1.50 for two years. This investment will increase Electrum's stake in Carlin Gold from 8.1% to approximately 34.5% on a non-diluted basis, and 40.0% on a fully diluted basis. The proceeds are specifically earmarked for an aggressive drilling program at Carlin Gold's Cortez Summit property in Nevada, as well as for general corporate purposes. The strategic investment from Electrum requires shareholder approval at the annual meeting scheduled for October 23, 2026, as Electrum will become a control person.
