What's Happening?
Evolution Mining has announced its agreement to acquire 100% of Carnaby Resources in a transaction valued at approximately A$213 million ($149 million). This acquisition will be executed through a scheme of arrangement, offering Carnaby shareholders A$0.77
per share. The deal will bring the Greater Duchess copper-gold project, located near Evolution's Ernest Henry operations in north-west Queensland, under Evolution's control. The project is currently at the pre-feasibility stage, with a reported mineral resource estimate of 29.2 million tonnes at 1.3% copper and 0.2 grams per tonne gold. The acquisition is expected to increase copper output at Ernest Henry by around 10,000 tonnes per annum using existing infrastructure. The completion of the scheme is contingent upon Carnaby shareholder approval, regulatory clearances, and court approval. Existing tolling and offtake arrangements between Carnaby and Glencore will be terminated, with ore from Greater Duchess to be sold to Glencore under current terms.
