What's Happening?
Grant Thornton Advisors, backed by New Mountain Capital, has finalized its acquisition of CBIZ in an all-cash transaction valued at approximately $5 billion. This acquisition creates the fifth-largest U.S. provider of professional services, tax, and advisory
offerings, generating over $5 billion in annual domestic revenue. The combined entity will operate under the Grant Thornton brand, integrating CBIZ’s U.S. market relationships and industry expertise with Grant Thornton’s international advisory capabilities. This transaction is described as the largest combination of its kind in more than 25 years. Jim Peko will continue as CEO of Grant Thornton Advisors and lead its multinational platform. Following the completion, CBIZ became a wholly owned subsidiary of Grant Thornton Advisors, and its shares ceased trading on the New York Stock Exchange. A separate transaction involving Grant Thornton LLP and CBIZ CPAs is anticipated to close later in 2026.
Why It's Important?
This acquisition significantly reshapes the U.S. professional services landscape, creating a formidable competitor with expanded capabilities across accounting, tax, advisory, technology, and industry-specific services. For U.S. businesses, this means access to a broader and deeper pool of expertise, potentially leading to more integrated and comprehensive solutions for their complex needs. The increased scale and combined resources will also support Grant Thornton Advisors' previously announced $1 billion investment in artificial intelligence and advanced technologies, which could drive innovation and efficiency in client services. The merger is expected to create new professional development and career opportunities for approximately 20,000 U.S.-based employees, impacting the talent market within the professional services sector. The establishment of CBIZ Benefits & Insurance Services as a separate company also indicates strategic realignment within the broader financial services industry.
What's Next?
The combined organization will focus on integrating the best aspects of both Grant Thornton Advisors and CBIZ to enhance client services and foster growth opportunities for employees. The separate transaction involving Grant Thornton LLP and CBIZ CPAs is expected to close later in 2026, which will further consolidate their accounting and advisory services. The expanded multinational platform, now generating over $7 billion in annual revenue and employing more than 34,500 professionals across 25+ countries, will leverage its increased reach and enhanced capabilities to serve a diverse range of clients. The firm will continue to prioritize its investment in AI and advanced technologies, aiming to deliver cutting-edge solutions and maintain a competitive edge in the evolving professional services market.
Beyond the Headlines
This mega-merger reflects a broader trend of consolidation within the professional services industry, driven by the need for scale, specialized expertise, and technological advancement, particularly in AI. The involvement of private equity firm New Mountain Capital highlights the increasing role of private capital in reshaping traditional service sectors. This consolidation could lead to increased competition among the top-tier firms, potentially driving innovation and efficiency but also raising questions about market concentration. The emphasis on AI investment suggests that future growth in professional services will be heavily reliant on technological integration, transforming how advisory, tax, and accounting services are delivered. This shift could also influence talent acquisition and development, as firms seek professionals with both traditional expertise and advanced technological skills.
