What's Happening?
EQT Corporation has agreed to acquire Range Resources for approximately $13 billion in an all-stock deal, a move set to create the largest natural gas producer in the United States. Announced on October 26, this transaction will result in a combined entity
with an enterprise value exceeding $50 billion, including debt. The new company is projected to produce over 9 billion cubic feet equivalent per day across nearly 3 million net acres in the Appalachian Basin. This consolidation also brings together more than 30 years of drilling inventory and approximately 3,700 miles of midstream infrastructure, enhancing the coordination of production, transportation, and gas marketing. Range shareholders will receive 0.987 EQT shares for each share held, valuing the offer at about $54.91 per share at the time of the announcement. Existing EQT shareholders will own roughly 73% of the combined company, with Range investors holding the remaining 27%. The acquisition is expected to close in the first quarter of 2027, pending regulatory and shareholder approvals.
Why It's Important?
This acquisition is a significant development in the U.S. natural gas sector, accelerating consolidation as companies aim for larger resource positions, reduced operating costs, and improved market access for liquefied natural gas (LNG) exports and electricity demand. EQT anticipates approximately $325 million in annual synergies within two years, with potential long-term opportunities exceeding $600 million. Management projects an unlevered free cash flow breakeven below $2 per million British thermal units and an estimated $20 billion in cumulative free cash flow over five years. The merger positions the combined company to capitalize on expected increases in natural gas consumption driven by LNG export terminals, data centers, and gas-fired electricity generation. EQT Chief Executive Toby Rice has increased the company's estimate of Appalachian natural gas demand growth to over 25 billion cubic feet per day, with roughly half of that growth expected within Appalachia itself. This strategy also includes pursuing greater exposure to international natural gas prices through LNG supply arrangements, targeting about 15% of gas sales linked to overseas markets.
What's Next?
The proposed merger is currently awaiting regulatory and shareholder approvals, with the closing anticipated during the first quarter of 2027. EQT management will lead the combined company, which will maintain EQT’s headquarters in Canonsburg, Pennsylvania, and two representatives from Range Resources will join the EQT board. The success of the financial projections, including annual synergies and free cash flow, will depend on market conditions and the effective integration of the two companies. The broader industry will be watching to see if this consolidation can translate growing demand expectations into sustained free cash flow and stronger returns without encouraging excessive production growth. This transaction follows other major combinations in the natural gas sector, such as Chesapeake Energy’s merger with Southwestern Energy and Devon Energy’s merger with Coterra Energy, indicating a continuing trend of consolidation among gas-focused producers.
