What's Happening?
Modella Capital, an investment firm known for its retail portfolio including TG Jones, Hobbycraft, and Flying Tiger Copenhagen, is reportedly exploring a bid for the British fashion brand Joseph. Joseph, a luxury womenswear label founded in 1966, has
been owned by the Japanese group Onward Kashiyama since 2005. Onward Kashiyama appointed advisers at PwC earlier this year to find a new owner for the brand. Reports indicate that one round of bidding has already occurred, with the next stage of the acquisition process anticipated in mid-November. Joseph has undergone a turnaround effort since 2019 under Chief Executive Barbara Campos and appointed designer Mario Arena in 2024 to lead its creative direction. The brand also recently returned to London Fashion Week after a nearly decade-long absence. Despite a decrease in turnover to £45 million in 2025 from £56 million the previous year, Joseph's losses narrowed from £12 million to £3.4 million, and the business is not believed to be in financial distress.
Why It's Important?
This potential acquisition highlights the ongoing consolidation and strategic shifts within the fashion retail sector. For Modella Capital, acquiring Joseph would represent a move into the premium fashion segment, a departure from its typical investments in lower-end retailers. This could diversify Modella's portfolio but also introduce new challenges given the distinct market dynamics of luxury fashion. For Joseph, a new owner could provide the capital and strategic direction needed to further its turnaround efforts and expand its market presence. The sale process also reflects broader trends in premium fashion, including the growth of direct-to-consumer e-commerce and increased pressure on multi-brand retail. The outcome of this bidding process could influence future investment strategies in the fashion industry, particularly for private equity firms looking to capitalize on established brands undergoing strategic repositioning.
What's Next?
The next stage of the bidding process for Joseph is expected in mid-November, where Modella Capital and other interested parties will likely submit further offers. Following this, Onward Kashiyama, in consultation with PwC, will evaluate the bids and potentially enter into more detailed negotiations with a preferred buyer. An agreed sale would typically be announced by either Onward Kashiyama or the acquiring entity, followed by regulatory filings for the UK business. Should Modella Capital successfully acquire Joseph, the immediate next steps would involve integrating the brand into its portfolio and implementing strategies to leverage Joseph's luxury appeal while addressing its financial performance. This could include further investment in creative direction, marketing, and expanding its retail and digital channels. The fashion industry will be watching to see how this potential transaction impacts the competitive landscape and investment trends in premium brands.
Beyond the Headlines
The reported interest from Modella Capital in Joseph underscores a broader trend of private equity firms seeking value in established fashion brands, even those facing financial challenges or undergoing restructuring. This move could signal a strategic shift for Modella, potentially indicating a desire to diversify beyond its current portfolio of more accessible retail brands. The success or failure of such an acquisition could influence how other investment firms view opportunities in the premium fashion market, particularly for brands that require significant investment to regain market share or adapt to evolving consumer preferences. Furthermore, the sale of Joseph by its Japanese owner, Onward Kashiyama, highlights the global nature of fashion brand ownership and the continuous re-evaluation of brand portfolios by international conglomerates. This transaction could also shed light on the perceived value of heritage fashion brands in a rapidly changing retail environment, where digital presence and sustainability are increasingly critical factors for success.
