What's Happening?
Global law firm Gibson Dunn has advised Velaris Therapeutics on its acquisition by Alaunos Therapeutics, a transaction that closed on October 13 after receiving approval from both companies' boards of directors. The Gibson Dunn advisory team included
partners Ryan Murr, Branden Berns, and Melanie Neary, and of counsel Evan Shepherd. Velaris Therapeutics, based in Waltham, Massachusetts, is a biotechnology company focused on developing therapies for pulmonary hypertension and related cardiopulmonary diseases, including ActRII-Fc ligand traps and complementary biologics. Houston-headquartered Alaunos Therapeutics specializes in novel therapeutics for obesity and metabolic disorders, particularly through its ALN1003 program. The acquisition will integrate Velaris Therapeutics' ActRII-Fc portfolio into Alaunos's holdings. Concurrently, a private placement of Series C non-voting convertible preferred stock was completed, led by Fairmount with participation from Venrock Healthcare Capital Partners and other investment management companies, to fund the combined company's operations into 2029.
Why It's Important?
This acquisition is significant for the U.S. biotechnology sector, particularly in the development of treatments for pulmonary hypertension and metabolic disorders. The integration of Velaris Therapeutics' ActRII-Fc portfolio into Alaunos Therapeutics' pipeline could accelerate the development of new therapies for conditions like pulmonary arterial hypertension (PAH) and secondary pulmonary hypertension, which affect hundreds of thousands in the United States. Michael Henderson, Managing Director and President of Velaris Therapeutics, highlighted the potential to transform treatment for these conditions, emphasizing the capital-efficient plan to achieve proof-of-concept in PAH by 2028. The concurrent private placement, securing funding into 2029, provides a strong financial foundation for the combined entity, indicating investor confidence in the merged company's potential and its therapeutic programs. This move could lead to new treatment options for patients and create value for stakeholders in the biotech and pharmaceutical industries.
What's Next?
Following the acquisition, Fairmount founding partner Peter Harwin is slated to join Alaunos's board of directors, with three of Alaunos's current directors resigning to make way for three Fairmount-designated directors. This change in board composition suggests a strategic shift in governance and oversight for the newly combined entity. The primary focus for the merged company will be to advance the integrated pipeline, with proof-of-concept data for VLR199, a key therapeutic candidate, expected in 2028. The secured funding from the private placement will support these operational goals and research efforts into 2029. The company will likely continue to monitor regulatory developments and progress through clinical trials, aiming to bring new therapies to market for pulmonary hypertension and metabolic disorders. Further announcements regarding clinical trial milestones and therapeutic advancements are anticipated as the integration progresses.
Beyond the Headlines
The acquisition underscores a broader trend in the biotechnology industry towards consolidation and strategic partnerships to accelerate drug development and expand therapeutic portfolios. By combining Velaris's expertise in pulmonary hypertension with Alaunos's focus on metabolic disorders, the new entity aims to leverage synergistic research and development capabilities. This strategic alignment could lead to more comprehensive approaches to complex diseases that often have overlapping biological pathways. The involvement of multiple investment firms in the private placement highlights the significant capital flowing into promising biotech ventures, reflecting a belief in the long-term value of innovative drug discovery. This transaction also exemplifies how legal firms like Gibson Dunn play a crucial role in facilitating complex mergers and acquisitions within highly regulated sectors, ensuring compliance and strategic alignment for their clients. The success of this combined entity could set a precedent for future collaborations in the biotech landscape, particularly in addressing unmet medical needs.
