Scienjoy Holding Corporation, a mobile live streaming platform provider in China, has announced its acquisition of a 29.9% stake in Leader Education Limited, a Chinese private higher education service provider. The acquisition, valued at HK$102.69 million
(approximately US$13.1 million), was made through Scienjoy's wholly-owned subsidiary, Scienjoy Innovation Labs Inc. Leader Education Limited operates the Heilongjiang College of Business and Technology, specializing in engineering and business management programs, and has expanded to include two vocational schools in the Yangtze River Delta and Beijing-Tianjin-Hebei regions. The transaction is subject to several conditions, including Scienjoy's satisfaction with due diligence results, the absence of material breaches of warranties by Shuren Education Limited (Leader Education's controlling shareholder), and the continued listing of Leader Education's shares on the Hong Kong Stock Exchange. The closing is expected five business days after these conditions are met or waived. This transaction is considered a related party transaction due to Jun Lu, an independent director of Scienjoy, also serving as an executive director of Leader Education.
