Back in 2024, Tata Motors had announced the demerger of its existing business into two separate listing companies or entities -- passenger vehicle (PV) and commercial vehicle (CV).
Tata Motors Demerger: NCLT Approval
In an exchange filing on Friday (September 26), Tata Motors said that it has received true copies of the NCLT Orders related to the approval of its demerger plan.
Tata Motors said that the "Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench had sanctioned the Composite Scheme of Arrangement amongst Tata Motors Limited (the Company or Demerged Company), TML Commercial Vehicles Limited (TMLCV or Resulting Company), Tata Motors Passenger Vehicles Limited and their respective shareholders under Sections 230-232 of the Companies Act, 2013 and other relevant provisions (Scheme)".
Tata Motors has shares a certified true copy of the NCLT Order dated August 25, 2025 as well as the Rectification Order dated September 10, 2025 issued by NCLT. Tata Motors said that it has received true copy of both NCLT Orders on September 25, 2025. The certificates were placed before the board of the respective companies at their meetings held on Friday (September 26, 2025).

TML Commercial Vehicles Limited (TMLCV or Resulting Company).

Tata Motors Demerger Effective Date
Tata Motors said that the demerger will become effective from next week. The demerger effective date will be October 1, 2025.
"The Boards of the respective companies, at their meeting held today resolved to make the Scheme effective on October 1, 2025," Tata Motors said in filing.

Tata Motors is yet to announce the demerger record date. Tata Motors said that the demerger record date will be separately announce the record date.
"The Company will separately notify the Effective Date of the Scheme and the Record Date...," Tata Motors said in filing.
Tata Motors Demerger Share Ratio
Tata Motors has already announced the demerger ratio for its commercial vehicle and passenger vehicle business. Tata Motors demerger ratio is 1:1. It means that one share of the resulting company will be issued for every one share held in the existing company.
"...entitled to receive 1 fully paid equity share in TMLCV (face value of Rs 2 each) for every 1 fully paid equity share of the Company," Tata Motors added in the filing.
