An Existential Problem for Microsoft
In 1980, the world of computing was on the verge of a revolution. IBM, the undisputed king of mainframe computing, was secretly building its first “Personal Computer” and needed an operating system to run it. They approached a small but ambitious company
called Microsoft, run by Bill Gates and Paul Allen. Microsoft had programming languages like BASIC, but they lacked the one thing IBM needed most: a 16-bit operating system. Gates, in a move of legendary boldness, promised IBM he could deliver one, despite not actually having it. The clock was ticking. Microsoft had committed to providing the soul for IBM’s new machine, and now they had to find it.
Seattle's 'Quick and Dirty' Solution
The answer to Microsoft’s problem was just a short drive away in Tukwila, Washington, at a small hardware company called Seattle Computer Products (SCP). SCP had built its own computer based on Intel’s new 8086 processor but, like Microsoft, found itself without an operating system. Frustrated with delays from the industry-standard developer, Digital Research, a 24-year-old SCP programmer named Tim Paterson decided to build his own. Working for several months, he created what he called QDOS—the “Quick and Dirty Operating System.” It was functional, designed to work on the new 16-bit chips, and, critically, it was available. Paul Allen knew of Paterson's work and saw it as the perfect, ready-made solution to their IBM problem.
The Deal of the Century
Microsoft first struck a non-exclusive licensing deal with SCP in late 1980, paying a fee to re-license the software to a secret client. SCP, unaware that the client was the monolithic IBM, agreed to a deal that included a clause that Microsoft did not have to identify its customer. For an initial $25,000, Microsoft secured the rights to sell 86-DOS (the commercial name for QDOS) to IBM. Realizing the immense potential, Microsoft moved to control the asset completely. In July 1981, just before the IBM PC's launch, Microsoft paid SCP an additional $50,000 to purchase all rights to 86-DOS outright. For a total of around $75,000, Microsoft now owned the software that would become MS-DOS, the foundational platform of the personal computer era.
Cutting Ties with a Lawsuit
Once the IBM PC launched with PC-DOS (IBM's branded version of MS-DOS), the scale of Microsoft’s success became apparent. As millions of PC clones entered the market, all needing to license MS-DOS, Microsoft’s revenue from the product exploded. Seattle Computer Products, feeling it had been misled about the nature of the deal, took legal action. In 1986, SCP sued Microsoft, alleging that the software giant had improperly concealed its relationship with IBM to secure the rights for a fraction of their true value. The headline-making claim of a foundational partner being left in the cold was now a legal battle. The companies didn't fight it out in a prolonged public trial. Instead, they reached an out-of-court settlement where Microsoft paid SCP an additional sum, reportedly around $1 million, to finally and formally sever the relationship. This settlement was the ultimate cutting of ties, closing the book on the partnership that launched an empire.
An Empire's Foundation
The story of Microsoft and Seattle Computer Products is a classic tale from the annals of tech history. With MS-DOS as its cash cow, Microsoft was able to fund the development of Windows, Office, and the other products that would turn it into a global behemoth. The operating system that Tim Paterson built to solve a short-term problem for a small hardware company became the most widely used program in the world and the bedrock of a multi-billion-dollar empire. Meanwhile, Seattle Computer Products faded into relative obscurity, a historical footnote in the epic story of the company it helped create. Tim Paterson himself went on to work at Microsoft for several stints, becoming an respected engineer inside the very company that had bought his creation.
