A Perfect Storm of Threats
In 2017, the San Diego-based chip giant Qualcomm found itself in an unprecedented predicament. The company was simultaneously battling two existential threats, each with the power to dismantle its business. First, rival chipmaker Broadcom launched an unsolicited,
and later hostile, takeover bid starting at $103 billion. This wasn't a friendly merger; Broadcom was known for acquiring companies, slashing research and development budgets, and maximizing short-term profits—a strategy that was antithetical to Qualcomm's innovation-focused model. At the exact same time, Apple, one of Qualcomm's largest customers, declared all-out legal war. Apple sued Qualcomm, alleging its patent licensing practices were monopolistic and unfair, and instructed its manufacturers to stop paying billions in royalties. This move struck at the very heart of Qualcomm's business model, which relies on licensing its foundational mobile technology patents. The pressure was immense, with its stock price faltering and its future uncertain.
The Hostile Takeover and the Proxy War
Broadcom's takeover attempt was relentless. After its initial offer was rejected as too low, it became hostile, directly appealing to Qualcomm's shareholders to replace the board of directors with its own nominees. For months, then-CEO Steve Mollenkopf and the board were locked in a high-stakes battle to convince investors that Qualcomm's long-term value was greater than Broadcom's immediate cash offer. Broadcom's CEO, Hock Tan, argued his firm could manage the company more efficiently. However, Qualcomm's leadership countered that Broadcom's cost-cutting reputation would destroy the R&D engine that made Qualcomm a leader in next-generation technologies like 5G. The fight was not just about money; it was a clash of corporate philosophies. As the proxy battle intensified, it seemed Broadcom might succeed in gaining control of the company from within.
An Unlikely Savior: National Security
As the shareholder vote neared, Qualcomm played an unexpected card: it requested a review by the Committee on Foreign Investment in the United States (CFIUS), an inter-agency government body that vets foreign acquisitions for national security risks. Even though Broadcom was in the process of moving its headquarters from Singapore to the U.S., CFIUS intervened. The committee's concern was stark: it believed a Broadcom acquisition would weaken Qualcomm by cutting R&D, creating a vacuum in 5G development that a Chinese company like Huawei could fill. The U.S. government viewed Qualcomm's leadership in 5G as a strategic national asset. In a dramatic and unusual move, President Trump issued an executive order in March 2018 blocking the deal entirely, citing credible evidence that Broadcom's control of Qualcomm threatened to impair national security. The hostile takeover was dead.
Winning the War Over Value
With the Broadcom threat neutralized, Qualcomm could focus its full attention on its other existential fight with Apple. The legal battle raged across global courts for two more years. Apple argued that Qualcomm was “double-dipping” by charging for both chips and the patents they used. Qualcomm maintained that its intellectual property was the foundation of the modern smartphone and that it deserved fair compensation. The dispute was a high-stakes game of chicken, as Apple was heavily reliant on Qualcomm's modem technology for its iPhones. In April 2019, just as opening arguments were set to begin in a major trial, the two companies announced a surprise global settlement. Apple agreed to make a one-time payment to Qualcomm and enter into a new multiyear licensing and chipset supply agreement. The settlement was a massive victory for Qualcomm, validating its patent-licensing business model and sending its stock soaring.
