What's Happening?
Critical Infrastructure Technologies Ltd. (CiTech), a company specializing in autonomous, high-capacity mobile communications and security platforms, has signed a Share Sale Agreement to acquire a Western Australian precision engineering and manufacturing
company. This acquisition is a strategic move to establish sovereign manufacturing capabilities in Australia and to vertically integrate the production of CiTech's Nexus platform and future defense technologies. The purchase price for the acquisition is AUD $7.7 million, with the transaction structured to include payments over two years and adjustments for net working capital. The acquisition is expected to enhance CiTech's ability to scale production of its Nexus communications platforms, which are in demand in international defense, mining, and infrastructure markets.
Why It's Important?
This acquisition is significant as it strengthens CiTech's manufacturing capabilities in Australia, allowing the company to meet increasing international demand for its Nexus platforms. By integrating the engineering and fabrication operations, CiTech can accelerate the prototyping, production, and deployment of its products. This move not only provides immediate revenue and earnings but also positions CiTech to participate in major allied supply chains, enhancing Australia's sovereign defense manufacturing capabilities. The acquisition is expected to double the revenue and EBITDA of the acquired company within the next two to three years, indicating a strong growth trajectory for CiTech.
What's Next?
The completion of the acquisition is contingent upon securing the required funding, which is currently underway, and meeting standard closing conditions. The transaction is expected to be finalized by March 31, 2026. CiTech plans to finance the acquisition through a combination of debt and equity, with approximately 60% of the funding coming from an Australian bank and the remaining 40% through a capital raise. Once completed, CiTech will focus on integrating the acquired company's operations to enhance its production capabilities and support its growth strategy.
