What's Happening?
Estée Lauder Companies (ELC) is reportedly nearing the sale of its brands Too Faced, Smashbox, and Dr. Jart+. The potential sale has been under speculation since January 2026, with final bids allegedly received recently. These brands have been part of ELC's
portfolio for several years, but both Too Faced and Dr. Jart+ were identified as underperforming in the company's annual results last year. According to unnamed sources cited by WWD, there is at least one interested party looking at acquiring all three brands, while others are interested in the color brands or Dr. Jart+ alone. ELC has declined to comment on these rumors. The company acquired Smashbox in 2010, Too Faced in 2016, and took full ownership of Dr. Jart+ in 2019 after initially acquiring a minority stake in 2015.
Why It's Important?
The potential sale of these brands is significant as it reflects ELC's strategic efforts to streamline its portfolio amidst financial challenges. The company is currently in the second year of its 'Profit Recovery and Growth Plan,' which aims to boost sales through cost-cutting measures, including workforce reductions and service provider consolidation. The sale could provide ELC with the necessary capital to support its ongoing recovery plan and potential merger talks with Spanish beauty giant Puig, which could create a combined entity valued at approximately $40 billion. This strategic shift may impact the beauty industry by altering competitive dynamics and influencing market share distribution among major players.
What's Next?
If the sale proceeds, ELC may focus on strengthening its remaining portfolio and pursuing the merger with Puig. The company has reportedly hired J.P. Morgan to structure a financing package for the merger, seeking around €5 billion in funding. The completion of the sale could occur within weeks, potentially leading to further restructuring within ELC. Stakeholders, including investors and industry competitors, will likely monitor these developments closely, as they could influence market strategies and investment decisions in the beauty sector.
