USA Rare Earth, Inc. has announced a definitive agreement to acquire Serra Verde Group for approximately $2.8 billion. This acquisition includes the Pela Ema rare earth mine and processing plant in Goiás, Brazil. The transaction involves $300 million
in cash and the issuance of 126.849 million shares of USAR common stock. Serra Verde is notable for being the only scaled producer of all four magnetic rare earth elements outside Asia.
