What's Happening?
Hexagon, a Stockholm-based measurement and sensor technology group, has announced its acquisition of Waygate Technologies from Baker Hughes for $1.45 billion. Waygate, a leader in non-destructive testing (NDT), generates approximately $630 million in annual
revenue and employs around 1,500 people across 25 locations. The acquisition will enhance Hexagon's Manufacturing Intelligence division by adding computed tomography, radiography, and remote visual inspection technologies. This strategic move allows Hexagon to expand its capabilities in detecting faults and structural defects in components without dismantling them, complementing its existing precision measurement portfolio.
Why It's Important?
This acquisition is significant for Hexagon as it strengthens its position in the industrial inspection market, particularly in non-destructive testing. By integrating Waygate's advanced technologies, Hexagon can offer more comprehensive solutions for quality assurance and defect detection in various industries, including aerospace, automotive, and energy. For Baker Hughes, the sale aligns with its strategy to focus on core areas such as rotating equipment and decarbonization. The transaction allows Baker Hughes to redeploy capital towards these priorities, potentially enhancing shareholder value. This deal reflects broader trends in the industry where companies are optimizing their portfolios to focus on strategic growth areas.
What's Next?
The acquisition is expected to close in the second half of 2026, pending regulatory approvals. Hexagon plans to finance the deal using available cash and existing debt capacity. The company has classified Waygate's businesses into 'Profitability' and 'Growth' assets, indicating plans for active investment and expansion. Meanwhile, Baker Hughes will continue to streamline its operations, focusing on its core segments. The successful integration of Waygate into Hexagon's operations could lead to further innovations in NDT technologies, potentially setting new standards in industrial inspection.
