What's Happening?
Lufthansa Group is set to increase its ownership stake in ITA Airways, the national airline of Italy, from 41% to 90%. This move follows an initial acquisition in early 2025, where Lufthansa purchased
a 41% stake. The transaction, valued at 325 million euros, is scheduled to occur in June 2026. The acquisition is subject to regulatory approvals from the European Commission and the US Department of Justice, with finalization expected in early 2027. ITA Airways, formerly known as Alitalia, will be fully integrated into the Lufthansa Group, with the Italian government retaining a 10% stake. Lufthansa Group CEO Carsten Spohr highlighted the rapid integration of ITA Airways into the Lufthansa network, including unified booking systems and membership in the Star Alliance.
Why It's Important?
This acquisition marks a significant expansion of Lufthansa Group's influence in the European aviation market. By increasing its stake in ITA Airways, Lufthansa strengthens its position as a leading airline group in Europe, potentially enhancing its competitive edge against other major carriers. The integration of ITA Airways into Lufthansa's network could lead to increased operational efficiencies and expanded route offerings for passengers. However, the deal's completion is contingent upon regulatory approvals, which may involve scrutiny over competition and market dominance. The acquisition could also impact the dynamics of airline alliances, particularly the Star Alliance, by potentially altering joint venture agreements and market strategies.
What's Next?
The next steps involve securing regulatory approvals, which are anticipated to be completed by early 2027. During this period, Lufthansa will continue integrating ITA Airways into its operations, focusing on aligning customer-facing services and expanding joint ventures. The regulatory review process in the United States may attract objections from competing airlines, particularly concerning ITA Airways' participation in the Star Alliance joint venture. These objections could influence the final terms of the acquisition and any required concessions. Stakeholders, including competing airlines and regulatory bodies, will closely monitor the integration process and its implications for market competition.
