As part of the arrangement, J2 Metals shareholders will receive one new share of the spun-out company for each J2 share held, along with 0.21921 of a common share of the new entity. The completion of this arrangement is set for April 30, 2026. Additionally, a private placement was conducted to raise C$500,000, providing participants with one share of the spun-out company and a share purchase warrant, exercisable at C$0.15 per share over a 36-month period. J2 Metals is a gold and silver exploration company with a focus on discoveries in Mexico, Québec, and Alaska.
