What's Happening?
Jindalee Lithium's subsidiary HiTech Minerals is merging with Constellation Acquisition Corporation to form US Elemental, a US-listed lithium development company. The merger aims to expand access to US institutional investors and capital, supporting the
development of HiTech's assets, including the McDermitt project in Oregon and the Clayton North project in Nevada. Jindalee will own about 80% of US Elemental, with the merger valued at $571 million. The transaction includes a capital raise of $20-30 million, with a $4 million private investment from Antarctica Capital affiliates.
Why It's Important?
The merger positions US Elemental to advance domestic lithium resources, aligning with US policy priorities to develop critical mineral supply chains. As demand for lithium grows, driven by electric vehicles and battery storage, the new company could play a crucial role in securing US lithium supplies.
