What's Happening?
Elemental Royalty has entered into a definitive agreement to acquire Vizsla Royalties for C$327 million ($239 million). This acquisition aims to secure a strategic interest in the Panuco silver-gold project located in Mexico. Under the terms of the agreement,
Elemental will acquire all outstanding common shares of Vizsla Royalties through a court-approved plan. Shareholders of Vizsla Royalties have the option to receive either 0.15 shares of Elemental, C$4.13 in cash, or a combination of both for each share they hold. The transaction includes a premium of 31% on the last closing price and 22% over the 20-day average trading price as of May 12, 2026. The acquisition is expected to enhance Elemental's silver exposure and contribute approximately 7,500 gold equivalent ounces annually once in production. The deal is subject to approval from Vizsla shareholders and regulatory bodies, with an expected closure in the third quarter of 2026.
Why It's Important?
This acquisition is significant as it strengthens Elemental Royalty's position in the silver-gold market by adding the Panuco project to its portfolio. The Panuco project is projected to produce 17.4 million ounces of silver equivalent annually over an initial mine life of 9.4 years, with production expected to exceed 20 million ounces annually for the first five years. This move not only diversifies Elemental's income-generating portfolio but also enhances its market position by tapping into the under-explored areas of the Panuco project. The acquisition reflects a strategic effort to capitalize on the high-grade silver resources and exploration potential, which could lead to increased liquidity and market strength for Elemental.
What's Next?
The next steps involve obtaining the necessary approvals from Vizsla shareholders and regulatory bodies. Once approved, the acquisition is expected to close in the third quarter of 2026. Elemental will focus on integrating Vizsla's assets and optimizing the production capabilities of the Panuco project. The company will likely continue exploring the under-explored areas to maximize the project's potential and further strengthen its market position in the silver-gold sector.
