What's Happening?
Hillgrove Resources and Havilah Resources have entered into a binding agreement allowing Hillgrove to earn an 80% interest in the Mutooroo copper project located in South Australia's Curnamona province. This agreement involves Hillgrove completing a prefeasibility
study (PFS) to process Mutooroo ore through its existing Kanmantoo processing facility. The partnership aims to leverage Hillgrove's infrastructure to develop Mutooroo's 192,000-ton copper resource with lower capital intensity and reduced execution risk. Hillgrove plans to fund the PFS from its cashflow, with the potential to increase its copper production to over 20,000 tons per year. The agreement includes Hillgrove issuing $5 million in shares to Havilah and investing up to $10 million in a drilling program. Upon a final investment decision, Hillgrove will pay a Stage 2 consideration of $35 million in cash and shares to earn its 80% interest.
Why It's Important?
This partnership is significant as it represents a strategic move to enhance copper production capabilities amid rising global demand for copper, driven by technological advancements and energy transitions. For Hillgrove, this agreement provides a growth opportunity with minimal capital outlay, leveraging existing infrastructure to reduce costs and risks. For Havilah, the deal aligns with its strategy to monetize advanced projects while retaining a stake in future developments. The collaboration could lead to increased copper supply, benefiting industries reliant on this critical metal, and potentially influencing copper market dynamics.
What's Next?
Following the completion of the PFS, Hillgrove and Havilah plan to sign a tolling and marketing agreement for processing Mutooroo ore at Hillgrove's facility. The phased funding approach will ensure disciplined capital deployment, with expenditure increasing as technical assumptions are validated. The partnership may explore further opportunities for collaboration on surrounding exploration licenses, potentially expanding their resource base and production capabilities.
