MCA Extends FY25 Annual Filings Till January 31 Without Late Fees Amid Portal Glitches

As users have complained about filing issues on the MCA portal due to technical glitches, frequent timeouts, and other issues, the Ministry of Corporate Affairs has extended the due date for filing financial statements and annual returns under the Companies Act until January 31, 2026.

The due date was today, December 31, 2025. However, several users reported their inability to complete the filings for the financial year 2024-25.

“In continuation of General Circular No. 06/2025 dated 17.10.2025 on the subject cited above, and in view of the representations received from stakeholders, the competent authority has decided to allow companies to complete their annual filings [e- Forms MGT7, MGT-7A, АОС-4, АОC-4 CFS, AOC-4 NBFC (Ind AS), AOC-4 CFS NBFC (Ind AS), AOC4

(XBRL)] pertaining to FY 2024-25 up to 31st January, 2026 without payment of additional fees,” the ministry said in an official statement.

Companies can file key e-Forms such as MGT-7, MGT-7A, AOC-4, AOC-4 CFS, AOC-4 NBFC (Ind AS), AOC-4 CFS NBFC (Ind AS), and AOC-4 (XBRL) up to 31 January 2026 without paying additional/late fees if filed by that revised deadline. The MGT-7 and MGT-7A forms relate to annual returns, while AOC-4 series forms are used for filing financial statements with the registrar.

The extension will benefit companies, LLPs and NBFCs that were facing delays due to year-end compliance pressure and system load on the MCA portal.

Those companies failing to meet revised deadline will attract normal additional fees and penalties as per the Companies Act.
