Adani Defence acquires 72.8% stake in FSTC for ₹820 cr to expand pilot training

Adani Enterprises Ltd on Thursday (November 27) announced that its wholly-owned subsidiary, Adani Defence Systems & Technologies Ltd (ADSTL), together with Prime Aero Services LLP, has signed agreements

to acquire a 72.8% stake in Flight Simulation Technique Centre Private Ltd (FSTC), India’s largest independent flight training and simulation provider, for an enterprise value of ₹820 crore.

The agreements were executed on November 27, 2025. The acquisition involves ADSTL and its step subsidiary, Horizon Aero Solutions Limited (HASL). FSTC is a subsidiary of Flight Simulation Solutions Pvt Ltd (FSS) and its existing shareholders. The transaction does not qualify as a related party deal.

FSTC operates 11 advanced full-flight simulators and 17 training aircraft, providing end-to-end pilot training, including commercial pilot licences, type ratings, recurrent training, and specialised skill courses. The company is certified by DGCA and EASA and runs simulation centres in Gurugram and Hyderabad, along with one of India’s largest flying schools at Bhiwani and Narnaul in Haryana.

The acquisition aligns with Adani Defence’s strategy to build an integrated aviation services ecosystem spanning MRO, simulation, and full-stack pilot training. India is expected to require nearly 20,000 new pilots over the next decade, and FSTC’s capabilities will significantly enhance the country’s flight training capacity.

Ashish Rajvanshi, CEO, Adani Defence & Aerospace, said, "This acquisition is the next step in our strategy to build a fully integrated aviation services platform. With FSTC joining Air Works and Indamer Technics, we can now serve customers across civil MRO, general aviation MRO (maintenance, repair and overhaul), defence MRO and full-stack flight training."

Shares of Adani Enterprises Ltd ended at ₹2,249.90, down by ₹67.15, or 2.90%, on the BSE today, November 27.
