Shriram Pistons shares jump 5% after acquiring three companies for ₹1,670 crore

Shares of Shriram Pistons & Rings Ltd. (SPRL) opened as much as 5% higher on Friday, December 5, after it entered into a Share Purchase Agreement with Grupo Antolin Irausa S.A.U. and Grupo Antolin Ingenieria S.A.U. to acquire all outstanding shares, directly and indirectly, of Antolin Lighting India Pvt. Ltd. (T1), Grupo Antolin India Pvt. Ltd. (T2) and Grupo Antolin Chakan Pvt. Ltd. (T3), which is a subsidiary of T2.

SPRL will purchase 100% stake in all three companies at a combined enterprise value of €159 million, or roughly ₹1,670 crore. The transaction is expected to be completed by January 2, 2026.

The entities being acquired operate in the automobile components industry.

Antolin Lighting India reported revenue of ₹123.7 crore in FY25, while Grupo Antolin India posted ₹715.9 crore and Grupo Antolin Chakan reported ₹339.5 crore for the same period.

SPRL said the acquisition is aligned with its strategic objective of strengthening its capabilities and widening its presence in the automotive components space. The Antolin companies are leading suppliers of automotive interior solutions, manufacturing and selling products including headliner substrates, modular headliners, sunvisors, door panels, centre floor consoles, pillar trims, front-end carriers, overhead consoles, dome lamps, ambient lighting systems, touch panels and capacitive pads to major OEMs across India.

SPRL said that the acquisition will help it diversify into product categories that are independent of powertrain technologies, reinforce its industry position and create long-term value for stakeholders.

As part of the deal, SPRL will also sign a technology licensing agreement with Grupo Antolin to ensure continued access to advanced technologies and support for new product development. The company said the transaction will close once the conditions outlined in the Share Purchase Agreement are fulfilled.

Shares of Shriram Pistons & Rings Ltd. were trading 4% higher on Friday at ₹2,728. The stock has gained 24% so far in 2025.
