Timex Group India shares decline 8% after promoter announces second OFS in six months

Shares of Timex Group India Ltd. declined nearly 8% on Monday, December 29, after the company said its promoter Timex Group Luxury Watches BV is looking to sell 8.93% of its stake in the firm via an offer for sale (OFS) at a floor price of ₹275 per share.

The promoter has proposed to sell up to 45.09 lakh equity shares of face value of ₹1 each, representing 4.47% stake on Monday and Tuesday, with an option to additionally sell up to 45.09 equity shares, or 4.47%, via a separate, designated window of the Bombay Stock Exchange (BSE).

At the end of the financial year 2025, the promoter held a 74.93% stake in Timex Group India. In June, it offloaded a 15% stake via OFS at a floor price of ₹175 per share, post which, the promoter shareholding fell to 59.93%.

With the completion of this Offer for Sale, the promoter shareholding in the company is likely to decline to 51%.

Floor price of the OFS has been fixed as ₹275 per share, which is a discount of nearly 22% compared to the stock's closing price on Friday.

The Timex Group India stock has gained 82% this year, so far, and is up 63% from July 2025 when the first promoter OFS was complete.

In the second quarter, Timex Group's revenue increased 40% to ₹244 crore, profit after tax (PAT) was up 70% at ₹30.2 crore. Its earnings before

interest, tax, depreciation and amortisation (EBITDA) increased 70% as well to ₹42.9 crore and EBITDA margin was at 17%. Its royalty was at ₹10.5 crore compared to ₹7 crore in the previous year.

In the first half of the financial year 2026, its revenue jumped 45% to ₹413.3 crore and PAT was up 2.3 times at ₹45 crore. The company's EBITDA surged 2.1 times to ₹64.8 crore while its EBITDA margin expanded to 15.7% from 10.6% in the year-ago period.

Shares of Timex Group India Ltd. were down 7.9% at ₹324.05 apiece around 10.40 am on Monday.
