Firstsource Solutions Ltd on Tuesday (January 13) said its step-down subsidiary, Firstsource Health Plans and Healthcare Services, LLC, has acquired 100% ownership in TeleMedik, a Puerto Rico-based outsourced service provider offering healthcare and telehealth solutions.
The acquisition was completed through a share purchase agreement with TeleMedik’s shareholders for a consideration not exceeding $3 million, including an upfront payment and earn-outs. The transaction was executed and closed on January
13, 2026, and will be settled through cash consideration.
Following the transaction, TeleMedik will become a subsidiary of Firstsource Health Plans and Healthcare Services and a step-down subsidiary of Firstsource Solutions.

The company said the acquisition strengthens its fully integrated Business Process as a Service (BPaaS++) offering for health plan clients by adding deeper digital and clinical capabilities. The transaction is aimed at supporting health plans facing higher utilisation levels and rising financial pressures.
Firstsource said it integrates digital and generative AI capabilities with clinical operations and utilisation management into a unified service model covering the medical management lifecycle, including intake, authorisation, care coordination, clinical intervention, and ongoing member engagement.
The acquisition combines Firstsource’s AI and automation capabilities with TeleMedik’s operational presence in Puerto Rico and across the US, enabling payers to improve quality outcomes, reduce administrative costs, and enhance member and provider experiences.
The transaction expands Firstsource’s access to the US payer-provider ecosystem through established relationships and operational presence, particularly in Puerto Rico. The platform is positioned to support the growth of Medicaid, Medicare Advantage, and dual-eligible populations, including Spanish-speaking and underserved communities.

The company said the acquisition is expected to reduce operational risk, support business continuity, and enhance capabilities across Utilisation Management, Care Management, Disease Management, and Population Health. Integration of technology platforms is expected to improve core administration and utilisation management efficiency, speed up new operations, improve quality, and lower costs for clients.
TeleMedik operates in the US healthcare contact centre segment and provides technology-led healthcare and telehealth solutions. Firstsource clarified that the transaction does not fall under related party transactions and that neither the promoter nor the promoter group has any interest in TeleMedik. No governmental or regulatory approvals were required.
TeleMedik was incorporated on December 26, 1995, and operates in Puerto Rico and the United States. The company reported revenue of $14.8 million for January 2024 to December 2024, compared with $14.2 million in the previous year and $12.7 million in the year ended December 2022.

Shares of Firstsource Solutions Ltd ended at ₹321.95, up by ₹10.50, or 3.37%, on the BSE.
