What's Happening?
Siam Legal International, a law firm based in Phuket, is advising foreign investors on the legal implications following Thailand's intensified enforcement against nominee structures. This comes after the Department of Business Development, in collaboration
with other government agencies, shut down four companies in Chon Buri province. These companies were suspected of using Thai nominee shareholders to bypass foreign ownership restrictions under the Foreign Business Act. The enforcement targeted businesses in the tourism and property sectors, allegedly controlled by foreign interests through indirect shareholding. Authorities found patterns of corporate structuring designed to evade legal ownership limits, with some companies registered under the same address and linked to a single Thai national. This crackdown included revoking licenses for tour operators not meeting statutory director requirements, with further investigations ongoing.
Why It's Important?
The crackdown signifies a shift towards stricter scrutiny of nominee arrangements, which have historically operated in legal gray areas. For foreign investors, this development underscores the importance of compliance with Thai laws, as non-compliance can lead to severe penalties, including imprisonment, fines, business closure, and asset seizure. The enforcement action aims to maintain fair competition and regulatory integrity within restricted business sectors. This move could impact foreign investment strategies, as businesses may need to reassess their corporate structures and ensure they meet legal requirements to avoid enforcement risks.
What's Next?
The Chon Buri case suggests the possibility of broader nationwide enforcement, with authorities reportedly flagging over 100 additional entities for review. This indicates a more coordinated and systematic approach to enforcement across jurisdictions. Businesses are advised to proactively review their corporate structures, shareholder compositions, and licensing positions to ensure compliance. Siam Legal International continues to offer legal advisory services to help international clients establish compliant operations in Thailand, mitigating exposure to enforcement actions.
